subsidiary Axess International Network, one of Japan’s largest providers of travel distribution

innovation on matters related to its international patent portfolio.
Represented a large public provider of technology services to the travel and hospitality
industry in transactions with one of the world’s largest airlines for “soup to nuts” hosting and
provision of its disaster recovery functions at a new data center local to its business.
Assisted an Italian software house in the negotiation of a consulting services provision
agreement relating to third-party software regulated under French law.
Assisted a global leader in automotive tires in the implementation of innovative mobility
services (e.g., "tire-as-a-service", short-cycle bike rentals for enterprises, etc.).
Assisted a leading manufacturer of air-soft replica guns in the termination of license
agreements with its licensors and the aftermath of such terminations for the distribution of its
inventory.
Assisted a group specializing in the manufacture of small and large series of pieces of jewelry
for customers of the Place Vendôme as part of the redesign of its customer and supplier
contracts. Upstream, included securing the client's intellectual property rights; downstream,
addressed the client's know-how in the context of computer-assisted production management.
Assisted a European leader for the manufacturing of transportation parts with the development of
an online professional marketplace to facilitate the distribution of spare parts by all market
players.
Acted for telecommunications companies and Internet service providers in negotiating and
drafting telecommunications supply agreements with Telstra, PowerTel, SingTel, Global One,
Optus, AT&T, Datacom, and MCI Worldcom.
Represented a leading global e-commerce platform on its pan-European outsourced warehouses (3PL)
and third-party managed logistics services, including reverse logistics and covering middle-mile
and last-mile solutions. Involved structuring, drafting ,and negotiating commercial agreements
for the provision of these services, as well as providing strategic guidance on location
expansion and/or closures which can be highly complex. Assisted in developing service-driven key
performance indicators.
Drafted and negotiated technology licensing and related services agreements with leading
aerospace industry companies involving complex intellectual property development and ownership
issues. Enabled the client to act as a key supplier and service provider for its key industry
customers.
Represented a supplier of on-demand digital identity validation solutions in various matters
involving software development, software licensing and distribution, and the provision of hosted
software and digital data services. Prepared and negotiated complex agreements for and with a
variety of counter-parties and provided legal advice on compliance with applicable state and
federal data privacy and digital scanning laws.
Undertook intellectual property and operational due diligence in connection with hundreds of
acquisition and investment transactions. Prepared and negotiated key intellectual property,
technology, and privacy terms and ancillary agreements for those transactions.

relation to the negotiation of a system implementation and services agreement for its ERP
implementation project. Involved a multi-vendor sourcing strategy to allow selection of the
provider with the best experience, price, risk, and fit for the organisation, as well as
implementing strategies to capture the best value from licence negotiations.
Negotiated a technology company’s commercial agreements, including master license and
technology, consulting, services, data protection, and technology trial.
Advised a utility company in relation to the terms and conditions of an escrow agreement.
