REPRESENTATIVE EXPERIENCE
Logistics and Warehousing
Represented an investment management corporation on its purchase of additional shares and loans
in respect of a joint venture investing in logistics warehouses with a European real estate
investment management firm. Also renegotiated the shareholders’ and property advisory
agreements.
Represented a leading global e-commerce platform on its pan-European outsourced warehouses (3PL)
and third-party managed logistics services, including reverse logistics and covering middle-mile
and last-mile solutions. Involved structuring, drafting, and negotiating commercial agreements
for the provision of these services, as well as providing strategic guidance on location
expansion and/or closures which can be highly complex. Assisted in developing service-driven key
performance indicators.
Advised a Swiss multinational, multibillion-dollar biopharmaceutical company that specialises in
reproductive health, maternal health, gastroenterology, and urology on its third-party logistics
operations. As part of the client's DNO project, which involved redesigning and restructuring
its logistics network and contracting, advised the client to produce template third-party
logistics agreements and associated statements of work in the distribution of its pharmaceutical
products across Europe. Assisted the client in shaping the content and drafting a template
agreement for use with major third-party logistics providers to form the basis of negotiations
for services. Advised the client in negotiating the contract provisions.
Represented a Rancho Dominguez, California-based top-ranked logistics provider servicing the
Ports of Los Angeles and Long Beach in its acquisition by a leading asset-light provider of
customized transportation and logistics solutions for US$65 million.
Acted as local Australian legal counsel for a leading independent provider of maintenance
support and financial services to the business aviation industry in connection with the sale of
a majority stake to a private equity firm. Advised on a warehousing arrangement driven by FIRB
restrictions of the client's wholly owned Australian subsidiary.
Represented an aviation finance joint venture/Japanese SPC as borrower of financing for an
aircraft on lease to Wizz. Utilized a US-Japan joint venture warehousing facility.
Assisted a global leader in temperature-controlled warehousing and logistics with the immediate
response and investigation into a data breach incident, including mandatory notification
obligations in Australia. Helped with regulatory notifications to Australian and New Zealand
privacy regulators, as well as Australian cybersecurity agencies, and drafting correspondence
and notifications to affected individuals. Assisted with the procurement of identity monitoring
services from Equifax (in Australia) to offer to affected individuals and worked with New
Zealand local counsel to procure an equivalent product in New Zealand. Also assisted with some
targeted aspects of the folder and data analysis, and with drafting follow-up correspondence to
the Australian regulator.
Advised a US apparel company on its second-generation, third-party logistics outsourcing in the
United Kingdom.
Represented a worldwide logistics solutions company in the sale of its transportation and
logistics business to a global 3PL provider.
Advised a large Chinese online sales platform in the context of local logistics agreements in
different EU countries, namely delivery and stocking agreements which are supposed to be
concluded by our client but ultimately benefit the sellers on the platform. Also addressed GDPR
compliance regarding exchange of logistics intelligence.
