We represent developers and equity investors in structuring and negotiating joint
venture arrangements for the acquisition, ownership, and development of
income-producing real estate. We are well versed in issues relating to internal
governance, allocation of different business risks, buy-sell provisions, and
other legal and business issues important in joint ventures.
We work on these joint ventures in collaboration with our corporate and tax lawyers
to provide “soup-to-nuts” service. This ranges from front-end venture
formation and tax structuring through dispute resolution and execution of buy-sell
rights. In addition to negotiating joint venture agreements and working on tax
structuring, we regularly review the real estate diligence, construction, and
financing documents on behalf of investor members.
